I am leasing a building. In the lease agreement I was given the option to purchase the property. Before I even signed the lease I was assured by one of the owners, two tenants in common, that I would have the first crack at buying the property. However I am looking over the contract and all it states is that I have a option to buy the property at anytime within the lease. The neighboring business man was over looking at the property and said that he was thinking about buying the property. I had a friend look at my contract to see if I could sue my landlord if he sells the property therefore removing my option to purchase. He said no and pointed to this paragraph:

This instrument contains the entire and only agreement between the parties, and no oral statements or
representations or prior written matter not contained in this instrument shall have any force and effect.
This Lease shall not be modified in any way except by a writing executed by both parties.

He said that just because I have the option to buy doesn't mean that he can not sell it. Is this true? He also said something about not giving him (landlord) some sort of "consideration"? Even tho he TOLD me that I would have the first chance to buy the land. Does that paragraph release him? Does anything he said to me before the signing of the contract even matter? He promised I would have the first chance? Please help. I need someone to tell it to me straight.

You have the option to buy, but at what price or is it appraised value. I suggest that you get some clarification on this poitn and even request a leases addendum that specifically addresses the clause.
